The MSE method

How MSE works

MSE is engaged as a commission agent under the Swiss Code of Obligations, Art. 425-438. Every mandate is run by the principal - not delegated to a team - and drawn on a specialist network only where a transaction demands it, under the same confidentiality frame.

The depth of this site reflects the depth of the method, not the size of a firm. A commodity transaction is carried by one accountable principal who has structured them for 30+ years - and reinforced, deal by deal, with named specialists under mandate.

The engagement

A mandate, from first contact to execution

First contact, under NCND. A confidential first conversation under a non-circumvention, non-disclosure undertaking - before any counterparty, asset or price detail is exchanged. Nothing sensitive moves without it.

Scoping. The transaction is defined precisely - commodity, geography, counterparties, and the specific gap MSE is asked to close. What the mandate is, and what it is not.

Advisory Mandate Agreement. Scope, deliverables, fee and confidentiality are fixed in a written mandate under Art. 425-438. The engagement is a commission, not a handshake.

Structuring. MSE builds the structure the transaction runs through - the vehicle, the contracts, the finance and the settlement rails - to a standard a board, a counterparty and a lender can all transact through.

Network activation. Where a mandate needs a specialist - trade finance, ISCC certification, legal, technical diligence - a named expert is brought in under the same NCND, engaged and accountable to the mandate.

Execution. MSE administers the transaction through delivery and settlement, reconciled to the contract at every step - on a commission-agent basis, never as a principal taking a position.

Close and retention. The mandate is closed against its deliverables. The relationship - and the confidentiality that framed it - is held for the next transaction.

The model

One principal, a network under mandate

The value MSE brings is the principal. More than thirty years of structuring cross-border commodity transactions - at principal level in primary aluminium, then across independent mandates - sit with one accountable person who runs the engagement from first contact to settlement. That is deliberate: a counterparty deals with the person who structures the transaction, not an account manager in front of a team.

Where a transaction needs specialist depth, MSE draws on a standing network of named experts - trade-finance and banking partners, an ISCC EU certification specialist, legal and technical counsel - each engaged under written cooperation agreements and bound by the same NCND that governs the mandate. The network is activated per mandate and accountable to it. It scales the method without diluting the accountability: the principal stays responsible for the whole.

Why it is built this way

Confidentiality is the product, not the packaging

NCND before detail

The non-circumvention, non-disclosure undertaking comes first, every time. It protects the counterparty's position and MSE's - and it is the reason a principal will open a real transaction here rather than to a desk that trades on its own book.

No proprietary position

MSE never takes title or trades on its own account. As a commission agent, its interest is aligned with the mandate - not with a position on the other side of the counterparty's trade.

Named parties stay private

No counterparty, asset or mandate is named in any public material. What appears on this site is method and capability; who MSE acts for stays between MSE and the principal.

The network is bound too

Every specialist brought into a mandate signs the same confidentiality frame. Widening the team does not widen the disclosure surface.
